MRRChat Terms of Service

These Terms of Service (the Terms) govern your access to and use of MRRChat, including its revenue-verification features, member community, profiles, leaderboards, and related services (collectively, the Service). Our Privacy Policy explains how we handle personal information and forms part of these Terms.
1. Acceptance and eligibility
You accept these Terms when you create an account, click an acceptance control, connect a revenue provider, or otherwise use the Service after receiving notice of these Terms. If you use the Service for a company or other organization, you represent that you have authority to bind it.
You must be at least 18 years old, legally able to enter a binding contract, provide accurate account information, and comply with applicable law. You may not use the Service if US law prohibits us from dealing with you or if we cannot lawfully provide the Service where you are located. The Service is not directed to children.
2. What MRRChat is—and is not
MRRChat is a free community for founders at every business stage. Members can join the Pre-revenue and Public Rooms without connecting a revenue provider. Connecting supported business-revenue providers establishes a verified monthly figure and eligibility for revenue rooms. Verified members may separately choose to publish a profile or appear on a leaderboard.
MRRChat verifies that supported provider data produced a reading under our method. It does not audit a business, prove identity or ownership, certify accounting records, perform due diligence, or guarantee that a member is honest. MRRChat is not a bank, lender, broker, investment adviser, financial adviser, consumer reporting agency, credit-reference agency, escrow provider, or securities marketplace. No one may buy a higher tier.
3. Accounts and security
You are responsible for activity through your account and for protecting your email and authentication methods. Do not share, sell, transfer, or lend your account. Notify privacy@mrrchat.com promptly if you suspect unauthorized access.
Handles, names, venture information, posts, and other member-supplied information are self-declared unless the interface expressly labels them as verified. A revenue connection does not verify identity, product name, domain, business model, or ownership.
4. Revenue connections
You may connect only a supported provider account that you are authorized to connect. Depending on the provider, authorization may use a restricted API credential or another provider-supported method. Connections are intended to be read-only: they cannot create charges, issue refunds, modify subscriptions, initiate payouts, or move money. Read-only access may nevertheless make provider account, project, metric, product, charge, or refund data technically readable. The connection screen and Privacy Policy describe the information used by each supported integration.
We use connection data to validate access, calculate or retrieve a reading, maintain your tier, detect overlap or abuse, and show connection status. We do not use a credential to operate your provider account for another purpose.
You can disconnect through MRRChat and should also revoke the credential or access through the provider where available. Disconnecting stops future refreshes after revocation completes and may change or end verification and posting access. Provider services are governed by their own terms and privacy policies, and we do not control their availability, accuracy, or API changes.
5. Ownership attestation
Every time you connect or replace a revenue connection, you represent that:
I own or co-own the business whose revenue account I am connecting, or I am expressly authorized by that owner to connect it and publish the selected verification result. I am not using a stolen, borrowed, purchased, or otherwise unauthorized credential or account, and the connection does not misrepresent my relationship to the business or its revenue.
This attestation is separate from general acceptance of the Terms and is recorded for each connection. A valid credential alone does not prove ownership. We may request supporting information when fraud, duplicate credentials, or a credible ownership dispute is reported.
A false attestation may result in immediate suspension or termination, disconnection, removal of public information, loss of verification or tier access, preservation of relevant evidence, and other proportionate action.
6. Readings, provenance, and no reliance
A displayed figure is either reported by a provider or calculated by MRRChat from provider data. We label the source and method. Some figures may be partial or represent a minimum. Currency conversion, provider delays, refunds, disputes, incomplete coverage, data-model differences, and calculation rules can cause a figure to differ from a provider dashboard or financial records.
Readings are unaudited and can become stale between successful refreshes. They are community context—not financial statements, valuations, ownership proof, credit reports, or due-diligence materials. Do not rely on a figure, tier, profile, or badge for an investment, loan, acquisition, employment, contracting, or other material decision. We may correct, withdraw, or relabel a reading when its data or method was incomplete or wrong.
7. Tiers and access
Your current verified monthly figure maps to the tier scheme shown in the Service. Tier thresholds and room availability may change prospectively. Higher qualifying tiers may receive additional access that cannot be purchased or manually granted on request.
If a figure falls below the current tier, MRRChat ordinarily provides a 30-day grace period before soft demotion. Soft demotion may preserve read access and prior contributions while removing posting access to the former tier. Provider errors, stale or revoked connections, overlap corrections, currency changes, or fraud review may affect a tier. An outage or missing reading is not treated as zero, but verification can eventually expire.
8. Publication and anonymity choices
Connecting a provider does not automatically publish your profile or place you on a leaderboard. A public profile and ranked leaderboard placement require separate affirmative choices. Anonymous members are excluded from public ranking by default unless they expressly opt in where that option is offered.
Your exact verified monthly figure is displayed with your activity inside the verified community. If you enable a public profile or leaderboard placement, the exact figure also appears there. You can withdraw either public choice without losing forum access. We remove the information from MRRChat-controlled public pages, but search-engine caches, screenshots, archives, scrapers, and independent copies may remain.
Identity settings can hide your declared name, venture, domain, and similar information from other members, but they do not hide your verified figure. Anonymity cannot be guaranteed: revenue, tier, writing style, timing, context, small cohorts, and information available elsewhere may allow someone to infer identity. We prohibit attempts to expose anonymous members, but may preserve or disclose account information when reasonably necessary for security, moderation, legal process, or protection of a person.
9. Member content and license
You retain ownership of posts, comments, profile text, and other content you submit (Member Content). You represent that you have the rights needed to submit it and that it does not violate law, confidentiality duties, contracts, privacy, publicity, or intellectual-property rights.
You grant MRRChat a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, format, back up, and technically adapt Member Content only as reasonably necessary to operate, secure, moderate, and provide the Service and carry out sharing you direct. Service providers may exercise these rights only on our behalf. This license does not allow us to sell Member Content, use it to train a third party's general-purpose AI model, rewrite it into an affiliate endorsement, or use private posts in public marketing without separate permission.
The operational license ends when content is deleted from active systems, except as reasonably needed for backups, security, legal compliance, dispute evidence, and content retained in de-identified form after account closure. We may use feedback about MRRChat without restriction or compensation, provided we do not identify you or expose private Member Content without permission.
10. Community rules
Use MRRChat honestly and constructively. You may not:
- connect revenue you do not own or have express authority to use, misrepresent a reading, impersonate another person or business, manipulate activity, or evade enforcement;
- identify, expose, threaten, stalk, harass, sexually harass, or organize abuse against another person, including attacks based on a protected characteristic;
- publish home addresses, private contact details, credentials, financial-account details, government identifiers, private communications, trade secrets, customer or employee data, or confidential material without a lawful and legitimate reason;
- threaten, praise, promote, or facilitate violence, self-harm, exploitation, terrorism, fraud, theft, extortion, unauthorized system access, sanctions evasion, or other illegal or dangerous conduct;
- post sexual exploitation material or any sexual content involving a minor;
- infringe copyrights or other intellectual-property rights;
- distribute malware, phishing, spam, deceptive links, undisclosed promotions, fake engagement, referral spam, or content primarily intended to manipulate traffic or search ranking;
- scrape, probe, or automate the Service except through an expressly authorized interface and within its limits;
- present content as personalized legal, tax, investment, medical, or financial advice without the qualifications and lawful context required; or
- pressure another member to reveal identity, customers, exact revenue, acquisition discussions, or information they chose to withhold.
Useful disagreement, criticism, and business feedback are allowed. Targeted abuse is not. If you recommend something and have a financial, employment, ownership, family, sponsorship, affiliate, gift, discount, or other material relationship, disclose it clearly near the recommendation. MRRChat does not insert or rewrite affiliate links in Member Content at launch.
11. Moderation, reports, and appeals
We may investigate and take proportionate action on content, readings, or accounts that violate these Terms or law. Action may include warning, labeling, reducing visibility, locking or removing content, restricting features, invalidating verification, suspending or terminating accounts, preserving evidence, or referring an apparent emergency or crime to appropriate authorities.
Reports do not guarantee removal, and declining removal does not endorse content. We consider context, severity, credibility, law, safety, prior conduct, freedom of expression, and available evidence. Emergency action may occur before notice. Where required or appropriate, we provide the affected member with a principal reason and an opportunity to appeal. Abusive, duplicative, clearly unfounded, or legally prohibited appeals may be closed.
Members may use the report control on content. Anyone, including an affected nonmember, may report potentially unlawful or rule-breaking content to support@mrrchat.com. Include the content URL or identifier, the concern, supporting facts you are authorized to share, and reliable contact information. Appeals may be submitted through the in-product appeal form or support@mrrchat.com. Do not knowingly submit false or abusive reports. Immediate danger should also be reported to local emergency services.
12. Copyright and DMCA
MRRChat respects intellectual-property rights and may remove or restrict allegedly infringing material. In appropriate circumstances, we terminate repeat infringers after considering valid notices, counter-notices, retractions, court outcomes, history, and evidence of abuse.
If you own a copyright or are authorized to act for the owner and believe material on MRRChat infringes it, send our Copyright Agent a written notice containing:
- your physical or electronic signature;
- identification of the copyrighted work, or a representative list if one notice covers multiple works at one online location;
- identification and location of the allegedly infringing material, preferably including each exact MRRChat URL;
- your name, postal address, telephone number, and email address;
- a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or law; and
- a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner.

We may request missing information, forward the notice to the affected member, and remove or restrict the material. A notice does not automatically prove infringement. Notices may be shared with affected parties, advisers, authorities, or transparency services as permitted by law.
If your material was removed because of a DMCA notice and you believe removal resulted from mistake or misidentification, you may send the Copyright Agent a counter-notice containing:
- your physical or electronic signature;
- identification of the removed material and where it appeared;
- a statement under penalty of perjury that you have a good-faith belief it was removed because of mistake or misidentification;
- your name, postal address, and telephone number; and
- a statement consenting to the jurisdiction of the US Federal District Court for the judicial district containing your address—or, if outside the United States, the US District Court for the District of Oregon—and accepting service from the original claimant or that person's agent.
We may forward a valid counter-notice to the claimant. Unless the claimant informs us of a court action seeking to restrain the alleged infringement, the DMCA ordinarily permits restoration between 10 and 14 business days after forwarding the counter-notice. We may decline restoration when another legal or policy basis supports removal. Knowingly materially misrepresenting infringement or mistake may have legal consequences.
13. Third-party services
The Service depends on third parties, including authentication, hosting, cloud-security, email, and revenue providers. Your use of a third party is governed by its terms. We are not responsible for third-party acts, outages, data, content, security, or API changes except where law does not allow that limitation.
14. Changes to the Service or Terms
We may change or discontinue features and update these Terms. If a change is material, we will provide reasonable advance notice through the Service or your account email and identify its effective date. Where law or the nature of a change requires fresh agreement, we will request it before continued use. We will not retroactively change dispute terms for a dispute already known to us without express agreement.
15. Suspension, termination, and account closure
You may stop using the Service and close your account through an available account control or by contacting support@mrrchat.com. Closure removes your public profile and leaderboard entry from MRRChat-controlled surfaces, destroys held provider credentials, and unlinks your profile from retained discussion contributions. Posts and comments may remain under a neutral deleted-member identity to preserve conversation context, subject to available deletion controls and applicable law.
We may suspend or terminate access for breach, risk, legal requirements, provider restrictions, prolonged loss of verification, or discontinuation. Where practical and lawful, we provide notice and an appeal opportunity. Provisions that by their nature should survive—including ownership, properly retained licenses, disclaimers, liability, disputes, and enforcement evidence—survive termination.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." MRRCHAT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS DISCLAIM EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SERVICE, MEMBER CONTENT, PROVIDER DATA, READINGS, TIERS, OR VERIFICATION INDICATORS WILL BE COMPLETE, CURRENT, ACCURATE, UNINTERRUPTED, OR ERROR-FREE; THAT AN ANONYMOUS MEMBER CANNOT BE IDENTIFIED; OR THAT CONTENT WILL NOT BE COPIED OR MISUSED. Nothing in these Terms excludes a right that cannot lawfully be excluded.
17. Limitation of liability and indemnity
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MRRCHAT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, USE, OR DATA; OR DECISIONS MADE IN RELIANCE ON MEMBER CONTENT, A READING, TIER, PROFILE, OR VERIFICATION INDICATOR.
MRRCHAT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID MRRCHAT DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Because the Service is free at launch, US$100 will ordinarily apply. These limits do not apply where prohibited, including liability that cannot be limited for fraud, willful misconduct, death, personal injury, or mandatory consumer rights.
To the extent permitted by law, you will defend, indemnify, and hold harmless MRRChat and its affiliates, officers, directors, employees, contractors, and agents from third-party claims and resulting losses arising from your Member Content, unauthorized provider connection, false ownership attestation, unlawful conduct, or material breach of these Terms. This obligation does not apply to the extent a claim results from MRRChat's unlawful conduct and does not limit nonwaivable consumer protections.
18. Disputes and Oregon law
Before filing a formal claim, you and MRRChat will send a written notice describing the dispute and requested relief and attempt in good faith to resolve it for 30 days. Send notices to legal@mrrchat.com. This requirement does not prevent either party from seeking urgent relief or filing in time to preserve a claim.
These Terms and disputes arising from them or the Service are governed by Oregon law, without regard to conflict-of-law rules. Except where applicable law requires otherwise, the parties consent to exclusive jurisdiction in Oregon state courts and the US District Court for the District of Oregon. Either party may bring an eligible individual claim in small-claims court. These Terms do not require arbitration and do not waive any right to a jury trial or participation in a class proceeding.
19. Users outside the United States
The Service is operated from the United States and may not be lawful or available in every location. We may limit availability where necessary. Nothing in these Terms removes mandatory rights you have under the law of your habitual residence. If local law gives you a nonwaivable right to use local law, local courts, withdraw from an online contract, or receive another remedy, that right controls over inconsistent language in these Terms.
20. General
These Terms and the Privacy Policy are the entire agreement about the Service. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of relevant assets, subject to applicable privacy law. The parties are independent contractors. Headings are for convenience, and “including” means “including without limitation.”
